Welcome to DataBee (“we,” “us,” or “our”), accessible at https://databee.dev. By accessing or using our developer portal, APIs, software, proxy infrastructure, website, and related applications (collectively, the “Services”), you agree to be legally bound by these Terms of Service (“Terms”).
1. Acceptance & Authority
By creating an account, generating API keys, or invoking any API endpoints, you confirm that you have read, understood, and agreed to these Terms. If you are accepting these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have full legal authority to bind that entity to these Terms.
2. API Usage & Acceptable Use Policy (AUP)
- Account Credentials & Keys: You are strictly responsible for maintaining the confidentiality of your account credentials and API keys. All actions, requests, traffic, and costs incurred under your API keys are your sole legal responsibility.
- Prohibited Conduct: You agree NOT to use DataBee’s Services to:
- Distribute malware, ransomware, spyware, or engage in malicious cyber activities.
- Attempt to bypass, compromise, or test platform security, authentication barriers, or system architecture without prior written authorization.
- Conduct denial-of-service (DoS) attacks or intentionally overwhelm third-party target networks or DataBee infrastructure.
- Resell, sublicense, white-label, or redistribute raw API access to unauthorized third parties without explicit written consent from DataBee.
- Perform unauthorized competitive benchmarking, load testing, or reverse engineering against DataBee infrastructure.
- High-Risk Use Exclusion: STRICT PROHIBITION: DataBee APIs are not certified or intended for high-risk, safety-critical, or emergency environments. You are expressly prohibited from using our Services in applications where service downtime, data inaccuracies, or network latency could lead to death, personal injury, physical or environmental damage, critical infrastructure failure, emergency response operations, or automated financial trading execution.
3. Web Scraping, Third-Party Data & Target Site Demands
- Nature of Service: DataBee provides developer infrastructure designed to scrape, extract, process, structure, and deliver web data from third-party publicly accessible web sources (including, but not limited to, Similarweb).
- Data Rights & Compliance: You warrant and agree that your inputs, queries, search parameters, and downstream storage or distribution of scraped data comply with all applicable laws, data privacy regulations, and third-party rights in your jurisdiction.
- Service Interruptions & Third-Party Blockages: DataBee does not own or control third-party target websites. Third parties may alter their site structures, update HTML schemas, deploy anti-bot protections, or issue IP blockages that temporarily or permanently impair our ability to extract data from a specific target site.
- 30-Day Remediation & Refund Guarantee: If a target site blocking or structural source change prevents DataBee from servicing a specific scraping endpoint:
- DataBee will make commercially reasonable, best efforts to restore and resume service functionality.
- If DataBee is unable to restore the affected endpoint after thirty (30) consecutive days of disruption, DataBee will, upon written request, issue a prorated refund for the dollar value of your remaining, unused credits tied to that impaired endpoint or service.
- Third-Party Takedown Requests: If a targeted third-party web source issues a legal demand, cease-and-desist letter, or formal notice to DataBee regarding automated data collection, DataBee reserves the right to immediately suspend, modify, or terminate access to that specific scraping endpoint without prior notice or liability.
4. Billing, Prepaid Credits & Optional Overage
- Prepaid Credit Expiration: Services operate on a prepaid credit system. Purchased credits are valid for twelve (12) months from the exact date of purchase. Any unused credits remaining after 12 months will automatically expire and are non-refundable, except as explicitly provided under Section 3 (Service Disruption Guarantee).
- Overage Charges:
- Overages are disabled by default.
- If you manually enable the “Overage” feature within your account dashboard, you authorize DataBee to process additional credit purchases or bill your payment method on file as usage exceeds your base account limits.
- If overage is disabled and your credit balance reaches zero, API calls will be automatically throttled, rate-limited, or blocked until additional credits are added to your account.
5. API Deprecation & Platform SLA
- API Deprecation Notice: DataBee reserves the right to update, modify, or deprecate API endpoints. We will make commercially reasonable efforts to provide at least thirty (30) days’ prior written or electronic notice before introducing breaking API changes or completely deprecating an active API endpoint, except where emergency security patches or third-party legal demands require immediate deployment.
- Platform Availability: While DataBee strives for maximum infrastructure uptime and performance, Services are provided strictly on an “AS IS” and “AS AVAILABLE” basis.
6. Data Retention, Logging & Privacy
- Operational Logging: DataBee stores system execution logs, request metadata, status codes, response headers, performance metrics, and account event histories to maintain network security, monitor rate limits, prevent abuse, and fulfill user debugging requests.
- No AI/Model Training: DataBee does not use, sell, aggregate, or disclose your API request payloads, query parameters, returned scraped responses, or proprietary customer data to train internal or third-party machine learning or artificial intelligence models.
7. Intellectual Property Rights
All platform architecture, proxy infrastructure, software, proprietary extraction algorithms, API designs, documentation, branding, and trademarks associated with DataBee remain the exclusive intellectual property of DataBee. Subject to your compliance with these Terms, DataBee grants you a limited, non-exclusive, non-transferable, revocable license to access and invoke the APIs in accordance with your subscribed plan.
8. Limitation of Liability & Warranty Disclaimer
- DISCLAIMER OF WARRANTIES: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DATABEE EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. DATABEE DOES NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, ERROR-FREE, OR FULLY SECURE.
- MAXIMUM LIABILITY CAP: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DATABEE, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY.
- AGGREGATE MONETARY CEILING: IN NO EVENT SHALL DATABEE’S AGGREGATE CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS, THE WEBSITE, THE APIS, OR THE SERVICES EXCEED THE LESSER OF:
- ONE HUNDRED UNITED STATES DOLLARS ($100 USD) OR ITS EQUIVALENT IN INDIAN RUPEES (INR); OR
- THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO DATABEE IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
9. Indemnification
You agree to defend, indemnify, and hold harmless DataBee, its officers, directors, employees, contractors, and agents from and against any third-party claims, lawsuits, damages, liabilities, penalties, losses, settlement costs, and legal expenses (including reasonable attorneys’ fees) arising out of or related to:
- Your misuse or unauthorized use of DataBee’s APIs or Services;
- Your violation of any provision of these Terms or applicable local, national, or international laws; or
- Downstream claims, disputes, or legal actions brought by third parties regarding your collection, processing, storage, or distribution of scraped data retrieved via DataBee.
10. Governing Law & Dispute Resolution
- Governing Law: These Terms and any legal dispute or claim arising out of or in connection with them shall be governed by, interpreted, and construed in accordance with the laws of India, without giving effect to any choice of law or conflict of law principles.
- Jurisdiction & Venue: Subject to the mandatory arbitration provisions below, the parties irrevocably agree that the exclusive court venue and jurisdiction for any legal proceeding arising out of or relating to these Terms shall be the competent courts situated in New Delhi, Delhi, India.
- Arbitration & Dispute Settlement: In the event of any controversy, dispute, or claim arising out of or relating to these Terms, the parties shall first attempt to resolve the matter amicably through good-faith informal negotiations. If the dispute remains unresolved after thirty (30) days of written notice, the dispute shall be referred to and finally resolved by binding individual arbitration under the Indian Arbitration and Conciliation Act, 1996 (as amended). The seat and venue of arbitration shall be New Delhi, India, the proceedings shall be conducted in English, and the arbitral award shall be final and binding on both parties.
- Class Action Waiver: You explicitly agree that any disputes, claims, or legal proceedings against DataBee shall be conducted solely on an individual basis. You expressly waive any right to initiate, join, or participate as a plaintiff or class member in any class, collective, consolidated, or representative lawsuit or arbitration against DataBee.
11. Copyright Infringement & DMCA Takedown Policy
DataBee respects the intellectual property rights of content owners. If you believe that any web content or data retrieved through our API infrastructure infringes upon your copyright or trademark rights, please submit a formal written notice to our legal team at [email protected] containing:
- Identification of the copyrighted work or right claimed to be infringed;
- Identification of the specific API endpoint or target URL; and
- Your legal contact details and a statement made under penalty of perjury confirming your legal authority to act on behalf of the rightsholder.
Upon receiving a valid notice, DataBee will act promptly to review, restrict, or suspend access to the allegedly infringing target endpoint.
12. Public Data Policy & Anti-Circumvention
DataBee’s Services are designed exclusively to structure, clean, and deliver publicly accessible internet data. You expressly agree that you shall NOT use or configure DataBee Services to:
- Circumvent or bypass user authentication barriers, password protections, closed user portals, or login walls;
- Bypass digital rights management (DRM) technologies or unauthorized paywalls; or
- Intercept non-public, confidential, or private personal network traffic.
13. User Feedback License
If you provide DataBee with any suggestions, ideas, feature requests, recommendations, bug reports, or performance feedback regarding the Services (“Feedback”), you hereby grant DataBee an exclusive, royalty-free, fully paid-up, worldwide, transferable, sublicensable, perpetual, and irrevocable license to use, reproduce, implement, modify, and commercialize such Feedback into our platform, products, and APIs without any restriction, attribution, or financial compensation owed to you.
14. Amendments to Terms
DataBee reserves the right to update or modify these Terms from time to time. When material updates are made, we will update the “Last Updated” date at the top of this document and notify registered users via dashboard notifications or email. Your continued invocation of DataBee APIs or access to the developer portal after such changes take effect constitutes your binding acceptance of the updated Terms.
